THE RULES OF THE SOCIETY OF YOUNG FREEMEN

'The following rules were amended and apply as from the AGM June 2006'

AIM OF THE SOCIETY

1. The aim of the Society shall be to promote an interest in and the interests of the City of London among Young Freemen of the City and to undertake any activity which may be conducive to the realisation of this aim.

MEMBERS

2. The Society shall comprise four categories of Member, that is to say:

A Ordinary Members: Any Freeman of the City of London who subscribes for annual membership and who will not be above 40 years of age at the end of the subscription year.

B "Forty" Member: Any Freeman-of the City of London who subscribes for "Forty" membership, that is to say membership until 31st December following the individual’s 40th birthday.

C Associate Member: Any Freeman of the City of London who is too old to be an ordinary or "Forty" member and who subscribes for annual membership. Such members need not have previously been ordinary or "Forty" members. Associate members do not have any voting rights and may not stand for the Committee or any Office.

D Honorary Membership: Honorary membership is to be granted to those who have been of great service to the Society. Nominations for honorary membership (which may be applied retrospectively) shall be placed before the Annual General Meeting for approval.
Subscriptions

3. The subscription of all the due categories of membership shall be as follows and may be revised to any such sum as the Society may from time to time decide in General Meeting.

A Ordinary Members: The annual subscription will be £30. An initial two year subscription will cost £50 for the first two years of membership.

B “Forty” Membership: The subscription for “Forty” membership shall be the existing annual membership subscription payable by an ordinary member times ten years. On reaching 31 December following the individuals 40th birthday, “Forty” membership expires. The member may then elect to become an associate member.

C Associate Members: Associate members shall be required to pay £10 less than ordinary members but are asked to make an additional voluntary contribution if possible. There is no initial two year membership available for associate members.

D Honorary Members: No subscription shall be payable by those members classed as Honorary.

4. The subscription of any Member shall be payable to the Honorary Membership Secretary on the first day of January each year or within twenty-eight days thereof. New members who join during the subscription year shall pay a full year's subscription on joining, except that no charge shall be made for members who join between 1 October and 31 December, for that year's subscription.

ENTRANCE FEE

5. An entrance fee may be charged to new members (except honorary members) on joining, in addition to any subscription payable. The Committee shall have discretion as to whether this charge is applied, having regard to the financial circumstances of the Society. The fee, if levied, shall be equal to the current annual subscription for an ordinary member.
Patron

6. As provided in Annual General Meeting the Society shall appoint the office of President, the term of any such President to run for three years and thereafter be subject to re-election at Annual General Meeting yearly. The society shall also appoint up to 3 Vice-Presidents and up to 6 Ambassadors. The term of any such Vice-Presidents and Ambassadors to run for three years and thereafter be subject to re-election at Annual General Meeting yearly.

President

7. As provided in Annual General Meeting the Society shall appoint the office of President, the term of any such President to run for three years and thereafter be subject to re-election at Annual General Meeting.
Officers and Committee

8. The Society shall be managed by a Committee, to consist of the Officers of the Society that is to say, the Chairman, Vice-Chairman, the Honorary Treasurer, the Honorary Secretary and the Honorary Membership Secretary of the Society and 7 other ordinary or "Thirty-Six" members of the Society.

9. The Officers of the Society and the Committee shall be elected at the Annual General Meeting of the Society, such elections being carried out in accordance with Rule 10 below.
10.

(a) Any candidate or candidates for elections to any of the Offices of the Society or to the Committee shall be a member and have been proposed and seconded as such candidate or candidates by Members of the Society, one Member proposing and one Member seconding being sufficient for this purpose.

(b) No candidate or candidates shall require for the purposes of such candidature any support in addition of such nomination and seconding as is specified in Rule 10(a) above,

(c) There shall be included in the Notice of Annual General Meeting of the Society the final date by which the name of any candidate for election to any office or to the Committee shall be required to have been delivered to the Honorary Secretary.

(d) In the case of any Office of the Society: in the event of there being not more than one candidate for the election to such Office, that candidate shall be automatically elected. If, however, there be more than one candidate such candidates shall be balloted for at the Annual General Meeting.

(e) In the case of the Committee, other than the Officers of the Society: in the event of there being the same number of candidates as vacancies such candidates shall be automatically elected. However, if there be more candidates than vacancies such candidates shall be balloted at the Annual General Meeting.

(f) In the case of elections of the Officers of the Society, each member shall have one vote.

(g) In the case of elections of the Committee Members, each Member shall have such number of votes as there are vacancies,

(h) For voting purposes at committee meetings a quorum of 6 committee members will be required.

11. The Committee shall be empowered to co-opt such further members as it may from time to time think fit.

Sub-Committees

12. The Committee shall be empowered to appoint such sub-committees as it may from time to time think fit.

ANNUAL GENERAL MEETING

13. The Annual General Meeting of the Society shall be held on the 24th day of June each year or within 28 days thereof, whether before or after that date.

14. Any Member may without requiring the support of any other Member raise any matter relating to the business of the Society at the Annual General Meeting provided always that he shall have given notice thereof to the Honorary Secretary not less that 10 clear days before the Annual General Meeting.

15. Any Member may raise any matter relating to the business of the Society at the Annual General Meeting without having given the notice prescribed by Rule 14 above with the leave of the Annual General Meeting, which leave shall be given by a simple majority of those present.

16. The Chairman of the Society shall prepare a report lo the Society in each year which report shall be included in the Notice of Annual General Meeting, prescribed by Rule 17 below.

17. Notice of Annual General Meeting of the Society shall be sent to every member of the Society.

MEETINGS NOT BEING AN ANNUAL GENERAL MEETING

18. A meeting, not being an Annual General Meeting, of the Society may be requisitioned by not less than 10 members of the Society by giving notice of such requisition duly signed by such Members to the Honorary Secretary; such meeting shall be held within twenty-eight days of such notice being received by the Honorary Secretary, notice thereof having been sent to every member of the Society.

BANK ACCOUNT

19. Funds shall be held in accounts in the name of the Society, such accounts being managed by the Honorary Treasurer.

20. There shall be not less than three signatories for the purpose of signing cheques on the accounts established by Rule 19 above, of which one shall be the Chairman, one shall be the Honorary Treasurer and the others shall be members of the Committee appointed by the Committee.

21. No expenditure shall be incurred by the Society except with the concurrence of the Committee or a Sub-Committee so authorised by the Committee save that in cases of urgency the Officers of the Society, or any of them, shall be empowered to incur expenditure not exceeding £100 on any one occasion.

ACCOUNTS OF THE SOCIETY

22. (a) The Honorary Treasurer shall prepare a statement of Accounts for the Annual General Meeting of the Society, which Statement of Accounts shall be included with the Notice of Annual General Meeting prescribed by Rule 17 above.

(b) The society shall hold an assets register, which will include a register of all badges and regalia and other such assets that are held in the name of or on behalf of the Society. Officers and Committee members shall sign the register upon receipt of their badges of office at the AGM.

(c)The Honorary Treasurer will be responsible for arranging appropriate public liability insurance for the Society, insurance of the Chairman's badge of office and payment of the registration fee for the Society's website domain names. The Honorary Treasurer will also be responsible for arranging such additional payments as required from time to time in respect of the cost of maintaining the Society's presence on the web. All payments should be approved by the Committee.

ALTERATION TO RULES

23. It shall be competent for the Society in Meeting, whether Annual General Meeting or Meeting not being Annual General Meeting, to amend any rule or part of a rule of the Society providing always that such amendment as is proposed to be made shall be included in the Notice of such meeting at which such proposed amendment is to be considered.
Minutes

24. At every meeting of the Society the Minutes of the last meeting shall be read by the Honorary Secretary and signed by the Chairman as confirmed or amended by the meeting.

25. At every meeting of the Committee the Minutes of the last Committee meeting shall be read by the Honorary Secretary and signed by the Chairman as confirmed or amended by the Committee.

SUSPENSION OF RULES

26. Any Rules of the Society may by a two thirds majority of those present at a meeting of the Society be suspended for the duration of such meeting, or any part thereof, whether such meeting be an Annual General Meeting or a Meeting not being an Annual General Meeting.

27. The Committee may by a two thirds majority suspend for the duration of a Committee meeting, or part thereof, any of the following Rules of the Society, that is to say: Rule 25.
Definitions

28. In these Rules the following words or expressions shall have the following meanings:-

"The Society" - The Society of Young Freemen

"The Committee" - the Committee of the Society as established by Rule 8 above.

"Member(s)" - Member or Members of the Society being persons who have paid the subscription provided by Rule 3 above in accordance with Rule 4 above.

29. The society reserves the right to remove a member from the society for non-payment.
